If you see a business model that is effective and follow their practices, it is neither illegal nor unethical, just good business. When you cross the line is when you copy their uniforms, advertising, etc., so that you look just like the competition, or steal some of their patented ingredients or their formulation to use in your business. As an example, let's take Kentucky Fried Chicken, or KFC. There is no problem with (on your own) trying to develop a cooking method or recipe that is very close to theirs and sell it. If, on the other hand, you were to take proprietary information of theirs (like their name, their recipe, or their advertising) and use it to develop your own business, then you are crossing the line.
